NEC Electronics to Change Accounting Principles for Consolidated Financial Statements


KAWASAKI, Japan, December 24, 2009

NEC Electronics Corporation (TSE: 6723) today announced that it has changed its accounting principles for its consolidated financial statements from generally accepted accounting principles in the U.S. (U.S. GAAP) to generally accepted accounting principles in Japan (Japanese GAAP). These changes were approved by the Board of Directors at its meeting held on December 24, 2009, and become effective for the quarterly financial results of the third quarter ending December 31, 2009 and thereafter.

1. Background to the revision of an accounting principles
NEC Electronics has been using U.S. GAAP to prepare its consolidated financial statements. However, in preparation for the business integration planned on April 1, 2010, the company has decided to prepare its consolidated financial statements in accordance with Japanese GAAP starting with the third quarter ending December 31, 2009. By adopting Japanese GAAP prior to the business integration, NEC Electronics believes it is appropriately and promptly addressing the requirements for after the business integration.

2. Disclosure of the financial results under Japanese GAAP
